Mitch Rapaport spent his early career with the Internal Revenue Service in the Office of the Chief Counsel, Legislation and Regulations Division. More recently he was an attorney-advisor in the Department of the Treasury, Office of Tax Policy. During his time at the Treasury, Mr. Rapaport assisted in drafting the proposed private-activity bond regulations, the arbitrage regulations, and the rules relating to changes of use of bond-financed facilities and management contracts. Mr. Rapaport has participated in a wide variety of tax-exempt financings, including numerous refunding transactions, public power financings, prepayments for natural gas and electricity, stadium and convention center transactions, and education, multifamily housing and solid waste disposal financings, and he has provided advice in a number of privatization transactions. Mr. Rapaport also regularly represents clients before the Internal Revenue Service, Treasury Department, and Congress in connection with IRS audits of tax-exempt bond financings and legislative and regulatory matters and was active in the development of the rules for natural gas and electricity prepayments. With over 25 years of experience in the tax aspects of public finance transactions, he is nationally recognized in his field. Mr. Rapaport regularly serves as bond counsel, underwriters’ counsel, and special tax counsel.
Mr. Rapaport is an active member of the National Association of Bond Lawyers, having served as Chair of the Association’s General Tax Matters Committee and its Washington Seminar.
